GENERAL TERMS AND CONDITIONS OF SALE – ARTISIGN

PREAMBLE

ArtiSign is a microenterprise registered at 60 rue François 1er, 75008 Paris, France, exempt from VAT pursuant to Article 293 B of the French General Tax Code. It operates in the design, manufacture, and remote sale of custom illuminated signs.

Any order placed with ArtiSign implies full and unconditional acceptance of these General Terms and Conditions of Sale (GTCS).

PURPOSE

These GTCS are intended to define the contractual conditions between ArtiSign and the Client (individual or professional) within the framework of the sale of personalized signs made to order.

These GTCS apply to all sales of goods to private or professional customers by our company.

Placing an order constitutes the Client’s unconditional acceptance of and full adherence to these GTCS.

DEFINITIONS

·         Product: any sign, illuminated or not, custom-made according to the Client’s specifications. This includes, among others, LED signs, cut-out letters, plexiglass panels, nameplates, or any other personalized visual support offered by ArtiSign.

·         BAT: “bon à tirer” (proof) approved by the Client before production begins.

QUOTATION REQUEST & ORDER

Quotation form
The Client submits their request via a form available on the arti-sign.fr website, where they can provide a design or request a graphic proposal.

Graphic proposal
If the Client does not provide a visual, ArtiSign will propose a design based on the information received. This design is submitted to the Client for approval. Adjustments are possible at no additional cost. The Company will issue a proof to the Client. The Client must approve it or specify necessary modifications. A new proof will be sent after each modification until the Client gives final approval.

Order validation
Once the design is approved, ArtiSign sends a final quotation. This quotation is valid for 30 calendar days from its issue date. The order is considered confirmed only after explicit acceptance of the quotation by email or electronic signature and full payment received.

Order refusal
ArtiSign reserves the right to refuse any order whose content is illegal, contrary to public policy, or technically unfeasible. The Company also reserves the right, without any compensation or penalty being claimed, to refuse orders or to modify, suspend, or postpone execution in the event of the Client’s breach of any of their obligations, the occurrence of force majeure, or product unavailability (industrial incident, material shortage, market tension, health crisis, weather events, etc.).

PRICE & PAYMENT

Price
Prices stated in quotations are net (VAT not applicable). They include design, manufacturing, materials, packaging, and delivery. Import VAT, when applicable, is paid by ArtiSign and included in the sale price communicated to the Client.

Payment terms
Payment is made in a single instalment via credit card or PayPal, through a secure link generated by Shopify. No order will be processed without prior payment. Bank transaction fees are covered by ArtiSign.

Invoicing
An invoice is sent electronically within 3 working days following payment confirmation and final design approval, provided the Client has supplied all required information. Any specific invoicing request (company name, VAT number, complete address, etc.) must be provided when validating the quotation. Otherwise, the invoice will be issued based on the information available in the quotation form.

Late or non-payment
Any late payment results in suspension, cancellation, or refusal of current orders after formal notice, without compensation or penalties owed by our company. Any sum unpaid by the due date automatically makes all other invoices immediately payable and entitles our company to suspend deliveries until full payment, without the Client being able to claim compensation or penalties.

In accordance with Articles L 441-10 and D 441-5 of the French Commercial Code, late payment automatically results in:

·         A penalty equal to the rate applied by the European Central Bank (ECB) for its most recent refinancing operation, increased by 10 points, without prejudice to other legal recovery costs.

·         A fixed compensation of €40 for recovery costs.

·         Additional compensation may be claimed, upon justification, when recovery costs exceed the fixed amount.

RETENTION OF TITLE
We retain ownership of the goods ordered, delivered, and invoiced until full payment is received. However, the risks of theft, loss, or damage to the goods, as well as any damage they may cause, pass to the Client as soon as they are made available to them.

PRODUCTION AND DELIVERY TIMEFRAMES

Timeframes
Manufacturing is completed within 10 working days from receipt of payment. Shipping is carried out within 3 to 5 working days via express carriers (DHL, UPS, or equivalent), for a maximum total period of 15 working days, except in exceptional circumstances.

Tracking and receipt
Before shipment, a photo of the finished product is sent to the Client for confirmation. A tracking number is provided after the package is handed over to the carrier.

Delays and claims
Timeframes are indicative. No compensation will be granted for delays caused by the carrier or force majeure. The Client must check the package upon delivery. Any anomaly (damaged package, missing product) must be reported within 48 hours to ArtiSign and the carrier, with photographic evidence. Any claim must be made within 48 hours of receipt of the package, with photographic proof. After this period, no claim will be considered. Receipt without reservations covers any apparent defect and/or missing item.

INSTALLATION
ArtiSign does not provide installation services. However, each package contains a 1:1 scale template, installation instructions, a wiring diagram, and a standard fixing kit. Installation must be carried out by a qualified professional, in compliance with electrical standards applicable in the country of installation. ArtiSign declines all liability in case of non-compliant installation, unauthorized modification, or inappropriate product use. Due to the artisanal nature of production, slight variations in size (±2 cm) or color shades may occur. Such variations cannot be considered defects or grounds for a claim.

LIMITATION OF LIABILITY
Our company takes the greatest care in the quality of its products. We shall not be held liable for the choice of products made by the Client, particularly with regard to their characteristics versus their needs. More generally, our company shall not be liable for errors attributable to the Client or the harmful consequences of any decision taken by the Client or a third party designated by them. Products are supplied for their intended use and normal conditions. Any different, non-compliant, or abnormal use releases our company from all liability. ArtiSign shall not be held liable for indirect damages, loss of business, data loss, or harm related to product use. Liability is limited to the amount of the relevant order.

WARRANTY

Contractual warranty
Signs are covered by a 12-month warranty from the delivery date against manufacturing defects or malfunctions under normal use. In case of a proven defect, the product will be repaired or replaced free of charge. Returns are accepted only with ArtiSign’s prior approval. Return costs are covered by ArtiSign only if the warranty applies.

Statutory warranty
In accordance with Articles L.217-3 to L.217-17 of the French Consumer Code, consumers benefit from the statutory warranty of conformity. The company must deliver goods in conformity with the contract and is liable for any lack of conformity existing upon delivery. The consumer has two years from delivery to take action. They may choose between repair or replacement, unless one option involves a manifestly disproportionate cost for the company. The consumer may also invoke the warranty against hidden defects as provided in Articles 1641 to 1649 of the French Civil Code.

Exclusions
Excluded from warranty are: impacts, poor installation, power surges, unauthorized modifications, and all consumables. No obligation applies in case of defects from materials supplied by the Client or a design imposed by them. Warranty is also excluded for incidents due to force majeure, normal wear, negligence, improper maintenance, abnormal use, or inadequate storage conditions.

RIGHT OF WITHDRAWAL
In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal does not apply to goods made to the Client’s specifications or clearly personalized. Such goods cannot be returned or exchanged. Any confirmed order is final and non-refundable, except in the case of proven non-conformity. Clients are advised to ensure that the products meet their needs before ordering.

OPTIONAL SERVICES
On request, ArtiSign offers a 3D rendering before production. This service is billed separately and stated in the quotation. Any modification after approval will incur additional costs. Any design change after final quotation approval may result in extra charges or a new quotation.

INTELLECTUAL PROPERTY
The Client remains the sole owner of the delivered sign. However, by ordering, they expressly authorize ArtiSign to use final visuals, photos of completed signs, approved 3D renderings, and other graphic representations for communication, promotional, or illustrative purposes on its website, social media, or internally. Unless expressly prohibited in writing, the Client also authorizes the Company to display the work at trade fairs, exhibitions, and in promotional materials. The Company retains all intellectual property rights over its projects, prototypes, visuals, concepts, models, and documents, which may not be shared, reproduced, or executed without written consent. Each party undertakes to share only documents and intellectual property it owns or has the right to share. Unauthorized reproduction may lead to legal action.

FORCE MAJEURE
Events constituting force majeure include war, riots, fire, terrorist acts, strikes, blockades, government action, epidemics, pandemics, and any other unforeseeable, insurmountable event making preparation, storage, delivery, or normal execution of the sale impossible. In such cases, ArtiSign will inform the Client as soon as possible and agree, if possible, on a new execution date. If performance is impossible, the order may be cancelled without compensation to either party.

PERSONAL DATA
In compliance with applicable regulations, including the GDPR of April 27, 2016, we and/or our subcontractors collect personal data (name, surname, gender, position, business phone, and email) solely for managing the relationship, commercial communication, and order management (product delivery). Data is stored securely and confidentially during the commercial relationship and for a legally compliant period thereafter. Only authorized staff and subcontractors may access it. Data subjects have rights of access, rectification, deletion, portability, and objection, which they may exercise by contacting ArtiSign at contact@arti-sign.fr, attaching a copy of their ID.

CONSUMER MEDIATION
In accordance with Article L.612-1 of the French Consumer Code, any consumer has the right to free recourse to a consumer mediator for amicable dispute resolution. Consumers may also use the EU online dispute resolution platform at https://ec.europa.eu/consumers/odr.

DISPUTES AND GOVERNING LAW
French law applies exclusively, and these GTCS are subject to French law. In case of dispute, amicable settlement will be sought first. For professional clients, any dispute will be submitted to the exclusive jurisdiction of the courts of ArtiSign’s registered office. For consumers, the competent court is determined by applicable law. For any questions regarding these GTCS or the interpretation of a clause, the Client may contact ArtiSign at contact@arti-sign.fr.
